PREAMBLE

These Articles of Governance establish the operational framework, decision-making procedures, and administrative structure for the Digital Bank of International Settlements (DBIS). They implement the principles set forth in the Constitutional Charter and provide detailed procedures for the governance and operation of DBIS.


PART I: GOVERNANCE STRUCTURE

ARTICLE 1: SOVEREIGN CONTROL COUNCIL

Section 1.1: Composition

The Sovereign Control Council (SCC) shall consist of:

  • Representatives from each founding member
  • Representatives from admitted members as determined
  • Ex officio members as specified
  • Total membership as established by resolution

Section 1.2: Powers and Functions

The SCC shall have authority to:

  • Establish policies and procedures
  • Approve major decisions and transactions
  • Oversee institutional operations
  • Amend governing documents (subject to Charter requirements)
  • Admit new members
  • Approve budgets and financial plans
  • Appoint executive officers
  • Establish committees and working groups
  • Exercise all powers not specifically delegated

Section 1.3: Meetings

  • Regular meetings: Quarterly or as determined
  • Special meetings: As called by the Chair or upon request of members
  • Quorum: Majority of members or as specified
  • Voting: One vote per member unless otherwise specified

Section 1.4: Decision-Making

  • Ordinary decisions: Simple majority
  • Major decisions: Supermajority (two-thirds or three-fourths)
  • Fundamental decisions: Unanimity or supermajority as specified
  • Procedures: As established in rules of procedure

Section 1.5: Officers

The SCC shall elect:

  • Chair: Presides over meetings, represents SCC
  • Vice-Chair: Assists Chair, presides in absence
  • Secretary: Maintains records, manages communications
  • Other officers as determined

ARTICLE 2: EXECUTIVE DIRECTORATE

Section 2.1: Composition

The Executive Directorate shall consist of:

  • Executive Director: Chief executive officer
  • Deputy Directors: As appointed
  • Department Heads: As established
  • Other officers as determined

Section 2.2: Appointment

  • Executive Director: Appointed by SCC
  • Deputy Directors: Appointed by Executive Director with SCC approval
  • Department Heads: Appointed by Executive Director
  • Terms: As specified in employment agreements

Section 2.3: Powers and Functions

The Executive Directorate shall:

  • Implement policies established by SCC
  • Manage day-to-day operations
  • Execute decisions and transactions
  • Prepare reports and recommendations
  • Manage personnel and resources
  • Represent DBIS in operational matters
  • Exercise delegated authority

Section 2.4: Reporting

The Executive Directorate shall:

  • Report regularly to SCC
  • Provide financial reports
  • Submit operational reports
  • Respond to SCC inquiries
  • Provide recommendations and proposals

ARTICLE 3: INSTITUTIONAL TRIBUNAL

Section 3.1: Composition

The Institutional Tribunal shall consist of:

  • Chief Judge: Presiding officer
  • Associate Judges: As appointed
  • Ad hoc judges: As needed for specific cases
  • Total composition as determined

Section 3.2: Appointment

  • Judges: Appointed by SCC
  • Terms: As specified (may be fixed or indefinite)
  • Qualifications: Legal expertise, independence, integrity
  • Removal: Only for cause and by SCC resolution

Section 3.3: Jurisdiction

The Tribunal shall have jurisdiction over:

  • Disputes involving DBIS
  • Interpretation of governing documents
  • Compliance matters
  • Administrative appeals
  • Other matters as specified

Section 3.4: Procedures

  • Rules of procedure: As adopted by Tribunal
  • Hearings: As required
  • Decisions: Binding on parties
  • Appeals: As specified in rules

PART II: MEMBERSHIP

ARTICLE 4: MEMBERSHIP CATEGORIES

Section 4.1: Founding Members

  • Status: Original signatories of Charter and Instrument
  • Rights: Full voting and participation rights
  • Obligations: As specified in Charter and these Articles

Section 4.2: Admitted Members

  • Status: Entities admitted after establishment
  • Admission: By SCC resolution and execution of Instrument of Accession

Section 4.3: Associate Members

  • Status: Entities with limited membership
  • Admission: By SCC resolution
  • Rights: Limited as specified

Section 4.4: Observer Status

  • Status: Entities with observer rights only
  • Admission: By SCC resolution
  • Rights: Attendance and participation as specified
  • Obligations: Minimal as specified

ARTICLE 5: MEMBERSHIP PROCEDURES

Section 5.1: Application

Applications for membership shall:

  • Be submitted in writing to Executive Directorate
  • Include required information and documentation
  • Demonstrate compliance with requirements
  • Include commitment to Charter and Articles

Section 5.2: Review and Approval

  • Review: By Executive Directorate and relevant committees
  • Recommendation: To SCC
  • Decision: By SCC resolution
  • Conditions: As specified in resolution

Section 5.3: Accession

Upon approval:

  • Execution of Instrument of Accession
  • Payment of membership fees or contributions
  • Compliance with conditions
  • Commencement of membership rights

Section 5.4: Suspension and Termination

  • Suspension: By SCC resolution for cause
  • Termination: By resignation or expulsion
  • Procedures: As specified
  • Rights and obligations: As determined

PART III: FINANCIAL MANAGEMENT

ARTICLE 6: FINANCIAL OPERATIONS

Section 6.1: Financial Autonomy

DBIS shall operate as financially autonomous with:

  • Independent revenue sources
  • Self-sustaining operations
  • Reserve requirements
  • Financial controls and procedures

Section 6.2: Budget

  • Annual budget: Prepared by Executive Directorate

The GRU Reserve System shall:

  • Maintain reserves as specified
  • Operate according to established protocols

  • Report regularly on reserve status

Section 6.4: Financial Controls

  • External audit: Annual independent audit
  • Financial reporting: Regular reports to SCC
  • Compliance: With financial regulations and policies

ARTICLE 7: ASSETS AND LIABILITIES
