Legal basis, authority, governance and institutional independence.
This framework states how Organisation Mondiale du Numérique L.P.B.C. exercises central monetary and financial responsibilities only through identifiable legal and institutional authority.
Purpose and status
Every OMNL power must have an identifiable source of authority.
This framework governs the legal basis, authority, governance, independence, accountability and exercise of functions of OMNL in its designated capacity as the central monetary and financial institution of the Order of Malta.
Nothing in this framework independently creates a sovereign, governmental, regulatory, supervisory, monetary, currency-issuance or international legal power where such power requires authority under another instrument or applicable law.

Legal identity and authority
Legal basis and sources of authority
OMNL shall exercise rights, incur obligations, hold assets, enter agreements and conduct operations according to the legal personality and capacity granted under its applicable constitutive and governing instruments. Designation as a central bank defines OMNL's institutional function within that framework and shall not itself be represented as establishing external recognition by a state, regulator, monetary authority or international organisation.
Authority must be traceable to valid sources, including constituent legal instruments, instruments lawfully adopted by the Order, applicable statutes, charters or regulations, contractual authority, applicable law, recognised institutional arrangements or other legally effective instruments.
No policy, operational instruction or DBIS configuration may override a superior legal or institutional authority. A controlled Legal Authority Register shall identify, where appropriate, each material power, source, responsible authority, limitation, delegation, effective date and supporting instrument.

Institutional mandate
OMNL's primary objective is the preservation of monetary stability and confidence in the monetary framework entrusted to it. Humanitarian, political, commercial or private objectives shall not require compromise of monetary stability, reserve integrity, financial-system integrity or prudent risk management.
Powers and functions
Subject to applicable authority, OMNL may exercise monetary, reserve, treasury, payment, settlement, institutional banking, financial-stability, statistical, research and related central banking functions. Conditional authority must be established before the function is exercised.
DBIS infrastructure
DBIS supports execution, control, recording and monitoring of authorised OMNL operations. It may support ledgers, GRU infrastructure, treasury operations, accounts, payments, clearing, settlement, liquidity, foreign exchange, conversion, reconciliation, compliance, permissions, accounting, statistics, cybersecurity and audit records.
GRU and monetary instruments
Any GRU or other monetary instrument administered through OMNL shall have a documented legal and institutional basis and shall address issuance, attribution, reserve treatment, circulation, transfer, settlement, conversion, redemption and retirement.
Independence and governance
Independent authority with accountability
OMNL shall exercise its central banking responsibilities independently within the authority lawfully granted to it. No person or institution shall improperly direct monetary-policy decisions for the benefit of a particular individual, entity, transaction, project, investor, creditor, debtor or beneficiary.
The governance structure should provide for a Governing Council, Governor, Deputy Governor or equivalent, Monetary Policy Committee, Audit and Risk Committee, Reserve and Treasury Committee and DBIS Oversight function, or their functional equivalents.
All material delegations shall be documented in a Delegation Register. No individual should control every material stage of a critical monetary, reserve or financial operation. Appropriate separation shall be maintained across initiation, verification, approval, execution, settlement, reconciliation, accounting and audit.
Conflicts and conduct
Persons exercising OMNL authority shall act in the interests of the institution and its lawful mandate. Actual, potential and perceived conflicts shall be disclosed and managed, and confidential monetary information or DBIS access shall not be used for improper benefit.
Financial integrity
OMNL shall maintain controls for AML, CFT, sanctions, KYC/KYB, counterparty due diligence, transaction monitoring, fraud, corruption, information security, cybersecurity and data protection. Institutional status does not exempt transactions or counterparties from applicable controls.
Reserve governance
Reserve assets shall be managed according to security, liquidity, capital preservation, diversification and appropriate risk-adjusted return. Custody arrangements must be documented and independently verifiable, and public reserve representations must be supported by appropriate records.
Risk management
The enterprise risk framework addresses monetary, market, credit, counterparty, liquidity, concentration, settlement, custody, operational, technology, cybersecurity, legal, compliance, reputational and business-continuity risk.
Audit and controls
Internal Audit shall have sufficient independence and access to examine relevant OMNL and DBIS functions. Financial statements and other appropriate matters shall be subject to independent external audit or assurance.
Transparency and confidentiality
OMNL shall maintain appropriate transparency concerning mandate, governance, monetary policy, decisions, financial statements, reserves, statistics, policies, notices and accountability, while protecting information that could compromise operations, stability, security, law or legitimate institutional interests.
Operational resilience
Secure infrastructure and controlled access
OMNL shall maintain continuity arrangements for critical central banking operations, including redundancy, backup, disaster recovery, business continuity, alternative communications, incident response, cybersecurity controls and testing. DBIS shall be protected according to the criticality of the functions it supports.
Access to DBIS and critical OMNL infrastructure shall follow: Least Privilege, Authenticated Identity, Defined Authority, Segregation of Duties, Recorded Action and Continuous Oversight. Material system changes shall require formal change management, testing, approval and auditability.
Institutional counterparties
Eligibility for accounts, settlement infrastructure or central banking services may consider legal status, regulatory standing where applicable, financial condition, governance, compliance, operational capability, cybersecurity, technical capability, counterparty risk and institutional purpose.
International relationships
Relationships with central banks, monetary authorities, governments, international organisations, development institutions, regulated financial institutions and counterparties shall be described according to their actual legal and institutional character.
Relationship with the Order
OMNL supports the Order through monetary stability, financial integrity and secure institutional infrastructure. The humanitarian and Hospitaller mission may inform institutional purpose but shall not override monetary discipline, reserve integrity, lawful governance or independence.
No preferential treatment
OMNL monetary powers shall not be used to provide improper preferential treatment to commercial projects, private persons or counterparties. Related-party transactions require appropriate governance, conflict-management and arm's-length requirements where applicable.
Institutional declaration
Authority must be established. Power must be controlled.
OMNL shall exercise only those powers properly entrusted to it and shall exercise them according to principles of legality, independence, accountability, prudence and institutional integrity.
The Bank shall maintain clear separation between monetary authority and private interest, between policy and technical execution, and between institutional independence and institutional accountability.
